Lizenz vereinbarungen

Benutzer Lizenz- und Nutzungsvereinbarung

  1. Gegenstand
    • Die Unified-E AG(nachfolgend "Lizenzgeberin") gewährt dem Nutzer auf Grundlage dieser Lizenz- und Nutzungsvereinbarung die Nutzung des Software-Produkts "Unified-E".
    • "Unified-E" (nachfolgend auch "Produkt" genannt) umfasst von der Lizenzgeberin entwickelte Standard-Software respektive Module (DLL-Dateien), mit der der Nutzer Endpunkte (zum Beispiel Steuerungen von Maschinen oder Anlagen) über eine Internet- oder LAN-Verbindung abfragen und bedienen kann.
    • Das Produkt umfasst folgende Programme (je ein "Programm"):
      1. "Unified-E App Manager" zur Installation auf einem Gateway-PC, welches den Zugriff der Clients (Smartphones, PCs) auf die HMI-Bedienungselemente und deren Zugriff auf die Endpunkte ermöglicht;
      2. "Unified-E App" als HMI-Bedienungselement zum Gebrauch auf Smartphones;
      3. "Unified-E Client" als HMI-Bedienungselement zum Gebrauch auf einem Microsoft Windows-PC;
      4. "Unified-E App Designer" zum Erstellen von auf die individuellen Bedürfnisse des Nutzers abgestimmte HMI-Bedienungselemente für Smartphones und Microsoft Windows-PCs;
      5. Diverse "Endpunkt Adapter" für die jeweiligen Endpunkte (zum Beispiel Steuerungen von Maschinen oder Anlagen).
    • Die "Unified-E Apps" sind für Android und Apple iOS in den jeweiligen App-Stores erhältlich.
    • Der "Unified-E App Manager", der "Unified-E Client" und der "Unified-E App Designer" sowie die "Endpunkt Adapter" inklusive dazugehörender Dokumentation stehen auf der Website der Lizenzgeberin zum Download zur Verfügung.
    • Download und Nutzung der Programme setzt das Einverständnis mit den vorliegenden Lizenz- und Nutzungsbedingungen voraus.
    • Die technischen Voraussetzungen und die unterstützten Betriebssysteme für die Installation und Nutzung des Produkts bzw. der einzelnen Programme sind der jeweils aktuellen Beschreibung auf <www.unified-e.com> zu entnehmen.
  2. Nutzungsrecht
    • Das Produkt und die Programme sind urheberrechtlich geschützt. Alle Rechte am Produkt und den Programmen stehen ausschliesslich der Lizenzgeberin und ihren jeweiligen Lizenzgebern zu.
    • Der Nutzer erhält das nicht ausschliessliche, nicht übertragbare, nicht unterlizenzierbare und zeitlich
      auf die Vertragsdauer begrenzte Recht zur bestimmungsgemässen Nutzung
      1. des erworbenen Programms und allfällig mitgelieferter Dokumentation gemäss den vorliegenden Lizenzbedingungen und
      2. der im Programm enthaltenen Open Source Bestandteile nach Massgabe von Ziffer 3.
    • Das Nutzungsrecht umfasst das Recht, das jeweilige erworbene Programm auf einem Windows-PC bzw. Smartphone zu installieren und durch die max. Anzahl erlaubte Nutzer zu nutzen.
    • Die bestimmungsgemäss Benutzung des Produkts umfasst ausschliesslich:
      1. die Erstellung von HMI-Bedienelementen für die Installation auf einen Unified-E App Manager;
      2. die Installation von mittels Unified-E App Designer erstellten HMI-Bedienelementen auf dem Unified-E App Manager;
      3. die Kommunikation mittels HMI-Bedienelementen über den Unified-E App Manager mit den Endpunkten.
    • Der Nutzer ist nicht befugt,
      1. das Produkt oder die Programme zu verändern, weiterzuentwickeln, als Grundlage für andere Produkte zu verwenden oder ausserhalb des gesetzlich Zulässigen zu entschlüsseln, dekompilieren oder anderweitigen Prozeduren zu unterwerfen, um an den Source Code zu gelangen;
      2. das Produkt oder die Programme zu verkaufen, unterlizenzieren oder anderweitig zu vertreiben;
      3. das Produkt ausserhalb der vereinbarten Nutzungsrechte zu verwenden;
      4. Kopierschutz, Verschlüsselung, Digital Rights Management-Systeme etc. aus der Software zu entfernen.
    • Wenn der Nutzer eine kostenpflichtige Gateway-Lizenz im Sinne von Ziffer8.2 erworben hat, ist er befugt, im Rahmen der vereinbarten Nutzungsparameter (Anzahl Nutzer und Clients) die Programme für Dritte zu nutzen (bspw. als Teil eines Support-Auftrags für einen Kunden) bzw. Dritte an der Nutzung der Programme teilhaben zu lassen. Der Nutzer hat dafür zu sorgen, dass diese Dritten die vorliegenden Lizenz- und Nutzungsbestimmungen einhalten und hat die Lizenzgeberin für sämtliche Schäden, welche ihr im Zusammenhang mit einer unerlaubten Nutzung durch diese Dritten erwachsen, schadlos zu halten.
  3. Open Source Bestandteile
    • Das Produkt enthält Open Source Bestandteile, die den Lizenzbedingungen gemäss Anhang 1 unterstehen. Der Nutzer haftet für die Verletzung von Lizenzbestimmungen betreffend Open Source-Bestandteile durch ihn und seine Hilfspersonen.
  4. Verwendungsbeschränkungen und Pflichten des Nutzers
    • Die Lizenzgeberin kann nicht gewährleisten, dass das Produkt bzw. die Programme fehlerfrei funktionieren. Der Nutzer ist dafür verantwortlich, vor dem Einsatz sorgfältig abzuklären, für welche Zwecke und Endpunkte er das Produkt einsetzen möchte. Das Produkt bzw. die Programme sind in der Regel als Ergänzung und nicht als Ersatz zu den herkömmlicherweise verwendeten HMI-Programmen des Nutzers einzusetzen.
    • Das Produkt darf nicht eingesetzt werden,
      1. für Zwecke oder in einer Umgebung, bei der ein Kommunikationsfehler (z. B. durch einen Netzwerk-Unterbruch oder einen Softwarefehler) zu Sach-, Personen- oder substantiellen Vermögensschäden führen kann;
      2. für Endpunkte, die für die medizinische Verwendung an Menschen bestimmt sind (z. B. Instrumente für die Blutdrucküberwachung, Herzfrequenzüberwachung);
      3. wenn ein Kommunikationsfehler einen Einfluss auf die Qualität eines Arzneimittels oder Medizinprodukts haben kann.
    • Der Nutzer hat sicherzustellen, dass
      1. die HMI-Bedienelemente vor der Inbetriebnahme in einem Test-Umfeld (z. B. in einer zu Testzwecken eingesetzten speicherprogrammierten Steuerung) getestet werden und sich dies als unbedenklich erweisen;
      2. vor der Inbetriebnahme des Produkts Sicherheitskopien von sämtlichen Daten, Programmen und Software (wie etwa speicherprogrammierte Steuerungen), die sich auf den benutzten Endpunkten befinden, gemacht werden (Konfigurationsfehler können ein Überschreiben der Endpunktspeicher verursachen).
  5. Verfügbarkeit
    • Einige Betriebs- bzw. Kommunikationsarten des Unified-E App Managers benötigen einen Zugriff auf Online-Dienste der Lizenzgeberin. Die Verfügbarkeit dieser Online-Dienste kann zeitweise beschränkt sein, insbesondere wegen Wartungsarbeiten. Der Nutzer kann aufgrund der Nichtverfügbarkeit der Online-Dienste, aus welchen Gründen auch immer, keine Ansprüche ableiten.
  6. Gewährleistung und Haftung
    • Software ist niemals vollständig frei von Fehlern. Unter die Gewährleistung der Lizenzgeberin fallen nur solche Mängel, die die Gebrauchstauglichkeit des Produkts erheblich einschränken.
    • Keine Gewährleistung besteht im Rahmen der kostenfreien Nutzung eines Programms.
    • Wenn der Nutzer innerhalb von drei Monaten nach Download eines kostenpflichtigen Programms feststellt, dass das Produkt einen Fehler enthält, der dessen bestimmungs- und vertragsgemässe Verwendung wesentlich beeinträchtigt, so wird die Lizenzgeberin den Fehler durch Lieferung einer korrigierten Version beheben oder dem Nutzer in anderer geeigneter Weise die Nutzung ermöglichen. Der Nutzer muss gewährleistungspflichtige Fehler innerhalb von 3 Monaten nach Download der Lizenzgeberin ausreichend dokumentiert melden. Jegliche weitergehende Gewährleistung ist ausgeschlossen.
    • Probleme, die sich im Zusammenspiel mit der Hardware oder anderer vom Nutzer genutzter Software ergeben, auf Bedienungsfehler zurückzuführen sind oder durch unbefugte Eingriffe in das Produkt verursacht werden, gelten nicht als Fehler des Produkts.
    • Allfällige Links zu Webseiten und Inhalten Dritter, die über die Software der Lizenzgeberin oder www.unified-e.comerreichbar sind, werden zu Gefälligkeitszwecken zur Verfügung gestellt. Die Nutzung dieser Links erfolgt im eigenen Ermessen des Nutzers. Die Lizenzgeberin ist für die unter diesen Links publizierten Inhalte nicht verantwortlich.
    • Jede Haftung der Lizenzgeberin sei es aus Vertrag, Delikt oder einem anderen Rechtsgrund sowohl für direkte als auch indirekte, mittelbare, unmittelbare oder Folgeschäden wie etwa entgangener Gewinn, Mehraufwendungen, nicht realisierte Einsparungen, Datenverluste oder Ansprüche Dritter ist ausgeschlossen. Keine Haftung übernimmt die Lizenzgeberin auch für Schäden, welche durch Hilfspersonen verursacht worden sind.
    • Zwingende gesetzliche Haftungsbestimmungen bleiben vorbehalten. In jedem Fall hat der Nutzer das Verschulden der Lizenzgeberin zu beweisen.
  7. Datenschutz
    • Die Lizenzgeberin behandelt die Daten der Nutzer vertraulich und gibt diese nicht an Dritte weiter. Die Lizenzgeberin behält sich vor, Daten zum Zweck der betrieblichen Abwicklung an Dienstleister weiterzugeben (z. B. Buchhaltung). Dabei wird ein angemessener Datenschutz durch Beachtung des in der Schweiz, in der EU und im jeweiligen Land geltenden Datenschutzrechts sowie durch entsprechende vertragliche Regelung mit den Dienstleistern der Lizenzgeberin gewährleistet
  8. Dauer, Beendigung, Bestellung und Lizenzgebühren
    • Diese Vereinbarung tritt im Zeitpunkt des Downloads eines Programmes in Kraft, ungeachtet davon, ob dieses kostenpflichtig ist oder nicht.
    • Mit der Bestellung einer kostenpflichtigen Gateway-Lizenz verpflichtet sich der Nutzer zur Bezahlung einer Lizenzgebühr.
    • Bei Erwerb der Gateway-Lizenz erhält der Nutzer einen Gateway-Namen sowie ein Passwort und kann sich fortan beim App-Manager anmelden. Bei erfolgreichem Login werden alle notwendigen Funktionen zur Kommunikation mit den Endpunkten freigeschaltet.
    • Die Höhe der Lizenzgebühr gemäss Ziffer8.2 kann je nach Laufzeit, Anzahl Clients und Leistungsumfang variieren. Sie wird bei der Bestellung auf der Website der Lizenzgeberin angegeben und ist innert 30 Tagen seit der Bestellung, aber in jedem Fall vor der erstmaligen Anmeldung beim App-Manager, zu bezahlen.
    • Bei der Bestellung besteht für den Nutzer die Möglichkeit, entweder eine befristete oder eine unbefristete kostenpflichtige Gateway-Lizenz zu erwerben. Die unbefristete Gateway-Lizenz verlängert sich automatisch um 1 Jahr, sofern der Nutzer nicht unter Einhaltung einer Frist von 3 Monaten auf das Ende der einjährigen Laufzeit schriftlich kündigt. Die befristete Lizenz ist während ihrer Laufzeit nicht kündbar und endet automatisch mit Ablauf der Laufzeit.
    • Die Lizenzgeberin behält sich das Recht vor, den Nutzer von der Nutzung des Produkts bzw. Programms auszuschliessen und die Vereinbarung vorzeitig zu beenden, sofern dieser ihre Leistungen in rechtswidriger Weise oder unter Verstoss gegen die vorliegende Vereinbarung nutzt oder fällige Lizenzgebühren nicht bezahlt. Bereits bezahlte Lizenzgebühren werden in diesem Fall nicht zurückerstattet.
    • Mit Beendigung der Vereinbarung erlischt das Recht des Nutzers zur Nutzung des Produkts bzw. der Programme.
  9. Anwendbares Recht und Gerichtsstand
    • Diese Vereinbarung untersteht materiellem schweizerischem Recht unter Ausschluss des UN-Übereinkommens über den internationalen Warenverkauf. Für alle Streitigkeiten aus oder im Zusammenhang mit dieser Vereinbarung sind die Gerichte am Sitz der Lizenzgeberin ausschliesslich zuständig.
